1. Introduction

Welcome to Ubossify. These Terms and Conditions ("Terms") govern your access to and use of the Ubossify platform, website, and services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Ubossify is a dropshipping marketplace that connects merchants with suppliers across Kenya. These Terms apply to all users, including merchants, suppliers, and visitors.

2. Account Registration & Eligibility

• You must be at least 18 years old to create an account on Ubossify.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate, complete, and up-to-date information during registration.
• Each user may operate only one account unless expressly authorized by Ubossify.
• Ubossify reserves the right to suspend or terminate accounts that violate these Terms.

3. Platform Services

Ubossify provides a dropshipping marketplace platform that enables:

• Merchants to browse and list products from verified suppliers on their online stores (Shopify, WooCommerce, etc.) without holding inventory.
• Suppliers to list products, manage inventory, and fulfill orders placed by merchants' customers.
• AI Store Builder tools to help merchants set up and configure their online stores.
• Order management and automated syncing between supplier inventory and merchant stores.
• Shipping and delivery coordination across Kenya.

Ubossify acts as an intermediary platform and does not directly sell, ship, or guarantee the quality of products listed by suppliers.

4. Merchant Obligations

As a merchant on Ubossify, you agree to:

• Operate your online store in compliance with all applicable Kenyan laws and regulations.
• Accurately represent products listed from Ubossify suppliers on your store.
• Handle customer inquiries and support for orders placed through your store.
• Ensure your store's pricing is consistent with the platform's pricing guidelines.
• Not engage in deceptive practices, misleading advertising, or fraudulent transactions.
• Maintain an active and properly configured store connection (Shopify, WooCommerce, etc.).

5. Supplier Obligations

As a supplier on Ubossify, you agree to:

• Provide accurate product information, including descriptions, images, pricing, and inventory levels.
• Fulfill orders promptly and within the agreed timeframes.
• Maintain consistent product quality and packaging standards.
• Comply with all Kenyan consumer protection laws and product safety regulations.
• Notify Ubossify immediately of any stock shortages or product discontinuations.
• Accept returns and process refunds in accordance with the platform's return policy.

6. Orders, Payments & Pricing

• All prices on the Ubossify platform are displayed and transacted in Kenya Shillings (KES).
• Payments are processed through M-Pesa and other approved payment methods available on the platform.
• Ubossify charges a platform service fee on transactions, which is disclosed to users at the time of registration.
• Supplier payouts are processed according to the platform's payout schedule and are subject to order fulfillment and delivery confirmation.
• Merchants are responsible for setting their retail prices, subject to a minimum markup above the supplier price.
• Ubossify reserves the right to hold or delay payments in cases of suspected fraud or policy violations.

7. Shipping & Delivery

• Shipping is available within Kenya. Delivery zones and rates are as published on the platform.
• Delivery timelines are estimates and may vary depending on location and logistics conditions.
• Ubossify coordinates with delivery partners but does not guarantee specific delivery dates.
• Shipping costs are calculated based on delivery zones within Kenya and are charged in KES.
• Risk of loss transfers to the customer upon delivery to the shipping carrier.

8. Intellectual Property

All content, trademarks, logos, and intellectual property on the Ubossify platform are owned by or licensed to Ubossify. You may not reproduce, distribute, or create derivative works from our platform content without prior written consent.

Suppliers retain ownership of their product images and descriptions but grant Ubossify a non-exclusive license to display and distribute this content through the platform and connected merchant stores.

9. Prohibited Activities

You may not use the Ubossify platform to:

• Sell counterfeit, illegal, or prohibited goods.
• Engage in fraudulent transactions or misrepresent products.
• Manipulate pricing, reviews, or platform metrics.
• Harvest data, scrape content, or interfere with platform operations.
• Circumvent platform fees or payment systems.
• Harass, threaten, or discriminate against other users.
• Violate any applicable laws or regulations of Kenya.

10. Limitation of Liability

To the maximum extent permitted by Kenyan law, Ubossify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

Ubossify does not guarantee uninterrupted or error-free service. The platform is provided on an "as is" and "as available" basis. Our total liability for any claim shall not exceed the fees paid by you to Ubossify in the twelve (12) months preceding the claim.

11. Termination

• You may close your account at any time by contacting Ubossify support.
• Ubossify may suspend or terminate your account for violation of these Terms, with or without notice.
• Upon termination, any pending orders will be fulfilled and outstanding payments will be settled according to the platform's payout policy.
• Sections of these Terms that by their nature should survive termination shall remain in effect.

12. Changes to Terms

Ubossify reserves the right to update or modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Kenya.
